Questions to ask before signing

A checklist for bondholders before signing a settlement, assignment or agreement with the issuer.

Signature is the moment a holder's position changes. The questions below are a general checklist; they do not replace legal review of the specific text.

On the subject matter

What exactly is transferred or changed.

  • Which claim, and to what extent, does the contract cover?
  • Does it include unpaid coupons and accessory rights?
  • When exactly does it take effect?

On payment

When and under what conditions you get paid.

  • What is the amount and the payment date?
  • Is payment conditional on things outside your control?
  • What happens if the counterparty does not pay?

On your obligations

Which representations and warranties you give and what follows if the facts turn out differently.

Whether the contract waives any further claims of yours.

On the process

Whether you have enough time to review the text, can consult a lawyer and will receive a signed counterpart.

Never sign a document you do not understand, or under time pressure.

Before signing, have the text reviewed by a lawyer and be clear about what happens to your claim afterwards.
